Terms and Conditions

These Terms and Conditions ("Terms") govern all sales of products and related transactions between ACR Supply Company, Inc. ("ACR," "we," or "us") and its customers ("Customer," "you," or "your"). By placing an order with ACR, you agree to be bound by these Terms.
Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.
- Company Information
ACR Supply Company, Inc. is headquartered at 4040 S. Alston Ave., Durham, North
Carolina 27713. These Terms apply to all customers located within the United States. - Customer Types
ACR serves a diverse customer base, including businesses (B2B), individual consumers
(B2C), and institutional clients (e.g., schools and government entities). - Order Acceptance
Orders placed with ACR become binding only upon shipment. We reserve the right to reject
or cancel any order at our sole discretion, including but not limited to errors in pricing,
product availability, or customer credit issues. - Order Changes and Cancellations
Customers may modify or cancel orders any time prior to shipment. Orders that remain
open for 60 days without shipping will be automatically canceled and are subject to a
minimum 20% restocking fee. Special order items, custom products, or items sold as part
of an exceptional sale are subject to a minimum 20% cancellation or modification fee,
and may incur additional charges depending on vendor terms or non-cancelable
conditions. In some cases, cancellation may not be permitted at all. ACR reserves the right
to determine the applicable fee at its discretion based on recoverable costs. - Pricing Policy
All prices are subject to change without notice. Prices exclude applicable taxes, shipping,
and handling fees. ACR reserves the right to correct pricing errors and may cancel or adjust
orders accordingly. - Shipping and Delivery
Customers are responsible for all shipping and freight charges unless otherwise agreed in
writing. ACR ships via various methods including UPS, LTL carriers, and our own delivery
vehicles. Delivery timelines are estimates only. Customers must inspect all deliveries upon
receipt. Risk of loss or damage during transit lies with the customer and the carrier,
although ACR may assist with claims at its discretion. For dropshipped orders, the
customer is solely responsible for inspecting shipments and handling any shipping
damage or loss with the carrier. All applicable shipping charges for dropshipped items
are the responsibility of the customer. - Backorders and Partial Shipments
ACR may fulfill orders through partial shipments at its discretion. Customers are
responsible for any additional shipping charges incurred from partial shipments.
Backorders are allowed unless otherwise specified. Customers will be notified of any items
on backorder and may contact ACR to modify or cancel those items. - Returns and Refunds
Returns are accepted within 30 days from the invoice date, subject to inspection and
approval by ACR. Returned items must be unused, in original packaging, and in resalable
condition. All returns are subject to a 20% restocking fee. Customers are responsible for
return shipping costs. Electrical components, dead stock, and non-stock items are nonreturnable.
Special order items may only be returned with prior written approval from ACR. - Payment Terms
Accepted payment methods include credit cards, checks, cash, ACH, and online payment
portals. Payment terms are established during the credit application process and may vary.
Late payments are subject to a 1.5% monthly interest charge (18% annually) on
outstanding balances. - Credit Checks and Deposits
ACR conducts credit evaluations before extending terms. Deposits or down payments may
be required at ACR's discretion based on the size, nature, or risk level of the order. - Warranties
Products are covered by the original manufacturer’s warranty, where applicable. Warranty
coverage applies only to the original purchaser and is non-transferable. ACR provides no
implied warranties beyond those oered by the manufacturer. Extended warranties may be
available for purchase at the time of sale for select serialized items. A $50 handling fee will
apply for warranty claims on products purchased from another distributor, even if the
brand is represented by ACR. - Disclaimers
ACR is not liable for damages resulting from improper installation, misuse, alteration, or
unauthorized repair. Products are not guaranteed to be fit for a particular purpose unless
explicitly stated in writing. ACR is not responsible for any indirect, incidental, or
consequential damages, including loss of profits or downtime. It is the customer’s
responsibility to ensure compliance with applicable codes and standards. - Limitation of Liability
ACR’s total liability under any claim shall not exceed the purchase price paid for the goods.
Under no circumstances shall ACR be liable for indirect, incidental, special, or
consequential damages, even if advised of the possibility. - Customer Information and Privacy
ACR collects customer information such as name, address, email, phone number,
company name, and tax ID for the purpose of fulfilling orders and managing accounts. This
data may be shared with third parties (e.g., payment processors, shippers, marketing
platforms) only as necessary. ACR uses cookies and tracking tools on its website and takes
reasonable measures to protect customer data. - Termination and Refusal of Service
ACR reserves the right to suspend or terminate any account, or refuse service, at its sole
discretion. Reasons may include abusive behavior, fraud, misuse of services, violations of
these Terms, or excessive quoting without intent to purchase. - Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of North Carolina. In case of a dispute,
ACR encourages good-faith resolution eorts. If necessary, disputes may proceed to
mediation or arbitration. Any legal proceedings shall be brought exclusively in the state or
federal courts of Durham County, North Carolina. - Jury Trial Waiver
You and ACR hereby knowingly, irrevocably, voluntarily, and intentionally waive any right to
a trial by jury with respect to any action, defense, counterclaim, or other proceeding arising
under or in any way related to these Terms or your use of the service. - Modifications to Terms
ACR may update or modify these Terms at any time without prior notice. Changes are
eective immediately upon posting to our website. Continued use of ACR's services
constitutes acceptance of the updated Terms.
You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.
The service may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.
We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.
